This End User License Agreement (“Agreement”) is a legal agreement between you (“User”, “you”, or “your”) and SIC Life Insurance Limited (“SIC Life”, “we”, “us”, or “our”) governing your access to and use of the AutoPay Application (“AutoPay” or “Application”).

By accessing or using AutoPay, you agree to be bound by the terms of this Agreement. If you do not agree, you must not use the Application.

1. DEFINITIONS

“Application” means the AutoPay system developed by SIC Life to process payment requests.

“Authorized Systems” include integrated systems such as Imprest Management Module, QuickBooks, and other internal or approved third-party applications.

“Payment Channels” include bank transfers, mobile money (MoMo), and other financial integrations.

“User” refers to employees, agents, or authorized personnel permitted to use AutoPay.

2. LICENSE GRANT

SIC Life grants you a limited, non-exclusive, non-transferable, revocable license to access and use AutoPay strictly for business purposes within SIC Life operations.

You may not:

Resell, sublicense, or distribute the Application

Reverse engineer, decompile, or attempt to extract source code

Use the Application outside authorized business purposes

3. SYSTEM FUNCTIONALITY

AutoPay is designed to:

Receive and process payment requests from integrated internal systems

Execute payments directly to banks and mobile money platforms via secure integrations

Maintain transaction logs and audit trails

SIC Life does not guarantee uninterrupted or error-free operation.

4. USER RESPONSIBILITIES

You agree to:

Use AutoPay only for authorized and legitimate business transactions

Ensure accuracy of payment data submitted

Maintain confidentiality of login credentials

Report any unauthorized access or suspicious activity immediately

You are solely responsible for all actions performed using your credentials.

5. INTEGRATIONS AND THIRD-PARTY SERVICES

AutoPay integrates with:

Financial institutions (banks)

Mobile money operators

Accounting and internal management systems

SIC Life is not responsible for:

Delays or failures caused by third-party systems

Downtime or outages of integrated platforms

Errors originating from external systems

6. PAYMENT PROCESSING DISCLAIMER

While AutoPay facilitates payment execution:

SIC Life does not act as a financial institution

Final settlement is subject to the receiving bank or mobile money provider

Transaction timelines may vary depending on third-party providers

7. SECURITY

SIC Life implements reasonable security measures including:

Encryption of data in transit

Role-based access controls

Audit logging

However, no system is completely secure. Users must adhere to internal IT and security policies.

8. DATA PRIVACY

AutoPay processes financial and personal data in accordance with:

SIC Life internal data policies

Applicable data protection laws (including Ghana Data Protection Act, where applicable)

Users must ensure that any data entered is lawful and authorized.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law, SIC Life shall not be liable for:

Indirect, incidental, or consequential damages

Loss of profits, revenue, or business opportunities

Errors due to incorrect user input

Failures of third-party systems (banks, MoMo providers, APIs)

Total liability shall not exceed the amount processed in the disputed transaction.

10. TERMINATION

SIC Life may suspend or terminate access to AutoPay at any time if:

You violate this Agreement

There is suspected fraud or misuse

Required for system maintenance or security reasons

Upon termination, your access rights will immediately cease.

11. AUDIT AND COMPLIANCE

All transactions processed through AutoPay are subject to:

Internal audits

Regulatory compliance requirements

Financial reporting standards

Users must cooperate with audit and compliance reviews.

12. INTELLECTUAL PROPERTY

AutoPay and all associated technology, software, and documentation are the property of SIC Life. All rights not expressly granted are reserved.

13. MODIFICATIONS

SIC Life reserves the right to update this Agreement at any time. Continued use of the Application constitutes acceptance of the revised terms.

14. GOVERNING LAW

This Agreement shall be governed by the laws of the Republic of Ghana.
